Affiliate Program Terms

These Affiliate Program Terms (“Affiliate Terms”) govern participation in the VETROVUE Affiliate Program (the “Program”), operated by EZPICK INC (“VETROVUE,” “we,” “us,” or “our”). By applying to or participating in the Program, you (“Affiliate” or “you”) agree to these Affiliate Terms and our website Terms of Service. If those terms conflict regarding the Program, these Affiliate Terms control.

1. Program Participation

Approved Affiliates may earn commissions by referring eligible purchases through tracking links, codes, or other methods we authorize. Applying does not guarantee acceptance. You must provide accurate application, contact, and payment information and keep it current. You must be legally able to enter into this agreement and, if acting for a business, authorized to do so.

2. Commission Terms

Before you begin promoting under the Program, we will provide your commission rate, eligible products and order types, attribution rules, and payment terms in writing through approval materials or an affiliate dashboard, where available. You must accept those terms before beginning promotional activity. Any individually agreed exceptions must be confirmed by us in writing.

Unless expressly agreed otherwise in writing, commissions are calculated on the eligible merchandise amount actually paid after discounts, excluding shipping, taxes, duties, and refunded amounts. Eligibility for sample, wholesale, custom, and trade orders will be specified in your approval terms. Commission changes are governed by Section 10.

3. Tracking and Attribution

Use only the tracking links and codes assigned or authorized by us. Your approval terms will specify the tracking window and how credit is assigned when multiple referrals, links, or codes are involved. A click or use of a code does not by itself guarantee an approved commission.

Tracking can be affected by browser settings, consent choices, ad blockers, device changes, or incorrect links. If you believe an eligible referral was missed, contact support@vetrovue.com with the order reference and supporting evidence. We will review the available records; commissions are payable only where eligibility and attribution can be reasonably verified. Do not collect or send unnecessary customer personal information.

4. Approval and Payment

Your approval terms will specify the commission review period, payment schedule, currency, payment methods, minimum payout threshold, and any Affiliate-paid processing fees. Orders must be paid, fulfilled, and pass the applicable review period before commissions become payable. Canceled, fraudulent, or fully refunded orders do not qualify. For partial refunds, commissions will be recalculated using the remaining eligible merchandise amount.

If an adjustment is required after payment, we may offset the corresponding amount against future commissions and provide an explanation. We may temporarily withhold commissions associated with suspected fraud or violations while reviewing them. Unrelated, valid commissions will not be forfeited solely because another transaction is under review. Contact support@vetrovue.com to dispute an adjustment or provide supporting evidence.

5. Advertising Disclosures

Clearly and conspicuously disclose your financial relationship with VETROVUE whenever you promote our products or share affiliate links or codes. Place disclosures close to the endorsement or link, where people can easily notice and understand them. Do not hide disclosures behind “more” links, in a profile alone, or among unrelated hashtags. Use appropriate spoken or on-screen disclosures for video and live content.

For example: “I earn a commission if you purchase through this link.” Disclose gifted products or other compensation when applicable. Follow applicable advertising laws and platform rules, including U.S. Federal Trade Commission requirements when promoting to U.S. consumers, regardless of where you are located. Endorsements must reflect your honest opinions and actual experience.

6. Brand and Product Claims

During approved participation, we grant you a limited, non-exclusive, revocable permission to use approved VETROVUE names, logos, and marketing materials solely for Program promotions. Do not misleadingly alter materials, impersonate VETROVUE, or suggest that you are our employee, authorized agent, or exclusive representative.

Without written permission, do not bid on VETROVUE or confusingly similar brand terms in paid search advertising, or register domains or accounts that imply official ownership. Use accurate, current product information. Do not make unsupported claims about fire resistance, waterproofing, soundproofing, acoustic performance, certifications, or outdoor suitability. Do not promise unauthorized discounts, installation services, delivery times, warranties, or return conditions.

7. Prohibited Conduct

You may not generate fraudulent orders, self-referrals, artificial traffic, forced clicks, cookie stuffing, or unauthorized tracking. You may not use spam, unlawful marketing, fabricated reviews, unauthorized coupon distribution, or misleading claims to obtain commissions. Do not promote the Program through unlawful, hateful, or sexually explicit content.

We may suspend participation while investigating suspected violations and terminate participation for confirmed violations. We may reverse commissions attributable to the violation, but will not automatically forfeit unrelated, legitimately earned commissions. You may contact support@vetrovue.com to request an explanation and submit information for review.

8. Termination

Either party may end participation by written notice, including email. We may suspend or terminate participation immediately for fraud, unlawful activity, or material violations. Upon termination, stop using active affiliate links, codes, and licensed marketing materials, and stop representing yourself as a current VETROVUE Affiliate.

Eligible orders placed before termination remain subject to the existing approval, refund, and payment rules, including orders still awaiting approval. Orders placed after termination do not qualify, even if a referral click occurred earlier, unless we agree otherwise in writing. Valid final commissions will be paid on the applicable payment schedule after review, regardless of the normal minimum payout threshold, subject to required payment and tax information.

9. Independent Relationship and Taxes

You act independently and are not our employee, agent, partner, or joint venturer. You cannot enter into obligations on our behalf. You are responsible for taxes applicable to your commissions. We may request appropriate tax documentation, including Form W-9 or the applicable Form W-8, and make withholding or reporting required by law.

10. Program Changes

We will notify active Affiliates by email before material changes take effect and state the effective date. Changes to commission rates and eligibility will apply prospectively to orders placed on or after that date. Eligible orders placed earlier, including those awaiting approval, remain subject to the prior terms. Continued participation after the effective date constitutes acceptance; you may end participation if you do not accept the changes.

11. Limitation of Liability

To the fullest extent permitted by applicable law, neither party is liable under these Affiliate Terms for indirect or consequential losses. VETROVUE’s aggregate liability arising from the Program will not exceed commissions paid or payable to you for the three months preceding the event giving rise to the claim. This limit does not reduce our obligation to pay valid commissions or exclude liability that cannot lawfully be limited.
